Beta Pricing. While FrankenCoder remains in public open beta, it is offered at the beta price of $79 USD (one-time). When FrankenCoder reaches general availability (as announced on frankencoder.com), the price transitions to the standard $99 USD (one-time). Beta licenses are full perpetual licenses — they do not expire when FrankenCoder exits beta, they receive all subsequent updates at no additional cost, and they automatically continue as standard general-availability licenses with no further action required by you.
This notice will be updated or removed when FrankenCoder reaches general availability.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CeardTech LLC ("Company," "we," "us," or "our"), concerning your access to and use of FrankenCoder and the frankencoder.com website (collectively, the "Services").
By purchasing, downloading, installing, or using FrankenCoder, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and may also provide additional notice via the website or in-app notification. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
FrankenCoder is a local-first, AI-powered integrated development environment (IDE) designed for desktop computers. The Services include:
FrankenCoder is designed to operate primarily on your local device. Your source code, AI conversations, project files, and other data remain on your computer and are not transmitted to CeardTech LLC servers.
FrankenCoder is sold as a one-time purchase. There are no subscriptions, recurring fees, or usage-based charges. The current pricing is:
All licenses, whether purchased at the beta price or the standard price, are full perpetual licenses that include all subsequent updates at no additional cost. Beta licenses automatically continue as standard licenses when FrankenCoder exits beta with no further action required. Prices and the dates of the beta period are subject to change at any time without notice. Any price changes will not affect licenses already purchased.
All payments are processed through our authorized payment processor, Stripe, Inc., via Stripe Managed Payments. Stripe is the Merchant of Record for FrankenCoder purchases — this means Stripe, not CeardTech LLC, is the legal seller for each transaction and is responsible for processing your payment, collecting and remitting any applicable sales tax or VAT in your jurisdiction, issuing tax-compliant receipts and invoices, and handling payment-processor-level disputes including chargebacks. By making a purchase, you also agree to Stripe's terms and Stripe's Privacy Policy, which govern Stripe's handling of your payment information independently of these Terms. CeardTech LLC does not receive or store your payment card number, card security code, full billing address, or other financial information. Purchases made before July 20, 2026 were processed by Paddle (Paddle.com Market Limited) as Merchant of Record; refunds for those purchases are handled through Paddle.

We offer a thirty (30) day money-back guarantee. If you are not satisfied with FrankenCoder for any reason, you may request a full refund within thirty (30) days of your original purchase date by contacting support@ceardtech.com.
Refunds are processed through Stripe and typically complete within five (5) to ten (10) business days, though timing may vary depending on your payment method and financial institution. Refunds for purchases made before July 20, 2026 are handled through Paddle (Paddle.com Market Limited), which was the Merchant of Record for those transactions.
After thirty (30) days, refunds are granted only at CeardTech LLC's sole discretion for documented technical issues that cannot be resolved.
Upon refund approval, your license will be terminated and you must cease all use of FrankenCoder and delete all copies.
CeardTech LLC reserves the right to deny refund requests in cases of fraud, abuse, or repeated chargeback activity.
Prices may be subject to applicable taxes depending on your location. Our payment processor handles tax collection and remittance where required by law.
Subject to these Terms, CeardTech LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
Unlimited Devices Per License. Your license entitles You to install FrankenCoder on every device You personally own or control — desktop, laptop, workstation, home computer, travel laptop, or any other hardware — with no numeric cap. If You own ten computers, You may install FrankenCoder on all ten. Installation on multiple devices that You personally own or control is a legitimate use of Your license and will never be treated as evidence of abuse or piracy.

Licenses are non-transferable except with prior written consent from CeardTech LLC. To request a license transfer, contact support@ceardtech.com with the details of the proposed transfer.
CeardTech LLC reserves the right to revoke, suspend, or terminate any license key that shows evidence of unauthorized distribution, sharing, or piracy. Such revocation may occur without prior notice.
Installation on multiple devices that You personally own or control is expressly permitted and is NOT evidence of abuse, regardless of device count. Evidence of abuse is limited to: sharing of license keys with unauthorized third parties (i.e., persons other than the licensee); public posting or distribution of license keys on websites, forums, file-sharing services, or other media; circumvention or attempted circumvention of license validation mechanisms; or simultaneous use of a single license by multiple unrelated end-users.
FrankenCoder periodically verifies your license key to ensure continued compliance with these Terms. License verification occurs at, but is not limited to: (a) application startup, (b) update checks, (c) update downloads and installation, and (d) periodic intervals during normal use. CeardTech LLC also reserves the right to verify your license at any other time as needed for license enforcement purposes.
This validation transmits only your license key and a device identifier. The device identifier is a one-way hash derived from non-changing hardware characteristics of your device, generated locally on your device before any data is transmitted. CeardTech LLC retains only the resulting hash, not the underlying hardware identifiers used to generate it, and the hash cannot be reversed to recover them. CeardTech LLC does not directly collect or store hardware serial numbers, MAC addresses, IP addresses, geographic location, or other directly identifying hardware information. No source code, project data, or usage information is transmitted during validation.
If license verification fails due to an invalid, expired, or revoked license, FrankenCoder may restrict functionality or cease to operate until a valid license is restored.
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to purchase, install, or use the Services. By using FrankenCoder, you represent and warrant that you meet this age requirement, or that you are the parent or legal guardian of a minor user and consent to and accept responsibility for the minor's use of the Services. If you are accessing the Services on behalf of an entity (such as a company or organization), you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

FrankenCoder, including all code, design, graphics, logos, and documentation, is owned by CeardTech LLC and protected by copyright, trademark, and other intellectual property laws.
"FrankenCoder" and "CeardTech" are trademarks of CeardTech LLC. You may not use these marks without our prior written permission.
You retain full ownership of:
CeardTech LLC claims no ownership or rights to your code, projects, or creations.
If you provide feedback, suggestions, or ideas about FrankenCoder, you grant CeardTech LLC a perpetual, royalty-free license to use that feedback to improve our products and services.
FrankenCoder allows you to connect to third-party AI services (such as OpenAI, Anthropic, Google, xAI, and others) using your own API keys. When you use these services:
When using local AI models through FrankenCoder (via Ollama, vLLM, or other local providers), all processing occurs entirely on your device. No data is transmitted to CeardTech LLC or any external service.
FrankenCoder includes open-source software components subject to their respective licenses. A list of these components and their licenses is available within the application under Help → About → Open Source Licenses, on the web at frankencoder.com/legal/open-source-licenses, and in the /licenses/ directory of your FrankenCoder installation.
By default, FrankenCoder checks for available updates by connecting to CeardTech LLC's servers or authorized update services. You may disable automatic update checks in the application settings. When the application does perform an update check, it transmits only the current version number, your license key, and the device identifier hash described in Section 3 (License Validation). No source code, project data, AI conversations, or usage information is transmitted during update checks.
Installing updates is always optional. Even when an update is available, FrankenCoder will not install it without your action, unless you have explicitly opted in to automatic installation in settings.
CeardTech LLC may release updates, patches, or new versions of FrankenCoder from time to time. Updates are provided "as available" and may include bug fixes, security patches, new features, or changes to existing features.
Your license includes access to updates.
CeardTech LLC reserves the right to modify, add, or remove features at any time. We will endeavor to provide advance notice of significant changes, but some changes may be made without notice to address security issues or other urgent concerns.
If CeardTech LLC discontinues FrankenCoder entirely, we will provide at least ninety (90) days advance notice and make reasonable efforts to provide a final stable version for continued offline use.
CeardTech LLC provides customer support on a best-effort basis via email at support@ceardtech.com. There is no guaranteed response time or service level agreement (SLA) unless separately purchased.

FRANKENCODER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CeardTech LLC does not guarantee that:
FrankenCoder facilitates the use of AI models for code generation and assistance. CeardTech LLC does not guarantee the accuracy, quality, security, or fitness for purpose of any AI-generated content. You are solely responsible for reviewing, testing, and validating any code or content generated through AI assistance.
FrankenCoder is a software development tool. It does not provide legal, financial, medical, or other professional advice. Any information or output generated should not be relied upon as a substitute for professional consultation.
FrankenCoder is not designed or intended for use in safety-critical systems, including but not limited to: medical devices, nuclear facilities, aviation systems, weapons systems, or any application where software failure could result in death, personal injury, or severe property damage. You agree not to use FrankenCoder for such purposes.
FrankenCoder is not designed to meet regulatory compliance requirements such as HIPAA, SOC 2, FedRAMP, or ISO 27001 unless explicitly stated.
To the maximum extent permitted by applicable law:
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

FrankenCoder and its related software, downloads, updates, technical data, and services are subject to United States export-control and sanctions laws. You may not download, access, receive, export, re-export, transfer, or otherwise make FrankenCoder available:
These restrictions apply to downloading or accessing the software whether or not a payment or purchase has occurred. You may not use a VPN, proxy, relay, false location information, or any other method to evade these controls.
By downloading, accessing, or using FrankenCoder, you represent and warrant that none of these restrictions applies to you and agree to comply with all applicable export-control and sanctions laws.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Before filing any formal dispute, you agree to first contact us at support@ceardtech.com and attempt to resolve the dispute informally for at least thirty (30) days.
Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Wyoming, United States. You consent to the jurisdiction of such courts and waive any objection to venue.
You agree that any disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide proceeding against CeardTech LLC.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CeardTech LLC regarding FrankenCoder and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. CeardTech LLC may assign these Terms without restriction.
CeardTech LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
The section headings in these Terms are for convenience only and have no legal effect.
These Terms are written in English, which shall be the controlling language for all purposes. Any translations provided are for convenience only.
